Project terms

Valley of Dev is a trade name.
Quotes and scope
A written quote is valid for 30 days. It says what’s included. If you ask for something outside it, we’ll tell you the cost before doing the work. Out-of-scope work is billed at $120 an hour unless we agree a fixed price.
Payment
Unless your proposal says otherwise, we bill 40% to start, 40% at a mid-project milestone and 20% before launch. You can pay by e-transfer or cheque, and invoices are due within 14 days. We don’t charge interest on late invoices, but work pauses on overdue ones. Once work has begun, the starting payment is non-refundable.
Taxes
Prices are in Canadian dollars and before applicable taxes. Your quote and invoice show which taxes apply to each line.
What we need from you
Feedback, content, images and logins when we ask for them. You confirm you have the right to use what you give us. If you’re late with those, the schedule and milestone billing shift to match.
Revisions
Your proposal defines how many rounds of changes are included.
Who owns what
After final payment you own the custom code we write for you. Third-party and open-source parts stay under their own licences.
Until final payment, you have a limited right to review and test the work. We keep our general know-how and any reusable components we’ve built. We may show finished work in our own portfolio unless you tell us in writing you’d rather we didn’t.
Third-party costs
Domains, hosting, plugins, themes, app-store fees and software licences are paid by you, held by you where possible. They’re not part of our fee unless the proposal says so.
The 30-day fix window
For 30 days after launch we fix defects in work we delivered, at no charge. A defect is something that doesn’t work as the proposal describes. New features, content changes, third-party or hosting changes, and browser or platform updates after launch are quoted separately.
Care plans
Care plans are billed monthly in advance and renew each month. Cancel with 30 days’ written notice. Unused hours expire at the end of each month. “Priority response” is a target we work toward, not a guarantee. We can’t promise uptime, and we can’t guarantee against every outage or data loss. We’ll give 30 days’ notice of any price change. We don’t refund partial months.
Discovery
Discovery costs $1,500. If you sign the build within 60 days, we credit it against the price. If you don’t, it’s non-refundable, and the written plan is yours to keep.
Cancelling
Either of us can cancel in writing. You pay for work done and for third-party costs we’ve already committed. Anything finished for a completed milestone is delivered once it’s paid for.
Liability
We’re responsible for doing the work to the standard agreed in the proposal.
Our total liability for a project is limited to the fees you’ve paid us for that project. For care plans, it’s the fees for the preceding 12 months.
We’re not liable for indirect losses such as lost profit, lost data or lost business, or for problems caused by third-party services, hosting providers or changes made by you or others.
Nothing here excludes liability we can’t legally exclude.
Confidentiality
We’ll keep what you tell us about your business to ourselves, and we ask the same of you about our pricing and methods. If you’d like a formal NDA, ask and we’ll sign a reasonable one.
Governing law
These terms are governed by the laws of Manitoba and the federal laws of Canada that apply there. If we disagree, we’ll first try in good faith to sort it out for 30 days. Disputes go to the courts of Manitoba. Nothing here limits rights you have under Manitoba consumer law.
